Terms of Service

1. Acceptance

By creating an account or using Breeze, you agree to these Terms of Service on behalf of yourself and, if applicable, the company you represent. If you do not agree, do not use the service.

2. Description of service

Breeze is an AI-powered tool that helps construction estimators and their teams read, search, and query project specifications and plan documents. Users submit documents via email or dashboard upload; Breeze processes them using Google Gemini and returns AI-generated reports and answers.

3. AI disclaimer — important

Breeze outputs are generated by an AI and may contain errors, omissions, or misinterpretations. All answers, reports, and summaries must be independently verified against your original source documents before being used for estimating, bidding, procurement, or any other business purpose. Breeze is a research and productivity tool — it is not a substitute for professional judgment or for reading the actual specifications yourself.

An incorrect spec interpretation can result in real financial loss. You are solely responsible for verifying any output before acting on it.

4. Accounts & access

  • One admin account is created per company during registration. The admin manages seats, billing, and team access.
  • You are responsible for maintaining the security of your account credentials. Notify us immediately at privacy@breeze.expert if you suspect unauthorized access.
  • Accounts are for the named company only. Sharing credentials with users outside your company is prohibited.

5. Acceptable use

You may not use Breeze to:

  • Upload or process documents you do not have the right to share.
  • Attempt to access another company's data.
  • Reverse-engineer, scrape, or resell the service or its outputs.
  • Upload content that is illegal, harmful, or violates third-party rights.
  • Use the service for any purpose other than legitimate construction estimating and project management work.

6. Your content & intellectual property

You retain full ownership of all documents and data you upload to Breeze. By uploading documents, you grant Breeze a limited license to process them solely for the purpose of providing the service to you.

Breeze owns the platform, software, and any proprietary methodology used to process and respond to your documents. AI-generated outputs delivered to you may be used freely for your business purposes.

7. Billing & subscription

  • Subscriptions are billed monthly per the pricing displayed at signup. All billing is processed by Stripe.
  • Subscriptions auto-renew unless cancelled before the renewal date. You can cancel at any time from the Billing page in your dashboard.
  • We do not offer refunds for partial months. If you cancel, your access continues until the end of the current billing period.
  • We reserve the right to change pricing with at least 30 days' notice to account admins via email.

8. Limitation of liability

To the maximum extent permitted by applicable law, Breeze shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost bids, or errors in estimates — arising from your use of the service or reliance on any AI-generated output.

Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you paid us in the three months preceding the claim.

9. Warranties

The service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free, uninterrupted, or that AI-generated outputs will be accurate or complete.

10. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you violate these terms. Upon termination, your right to access the service ends. See our Privacy Policy for data retention details.

11. Changes to these terms

We may update these terms from time to time. We will notify account admins by email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated terms.

12. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Texas.
